A Houston firm approved a recapitalization plan.

Anderson Clayton & Co. said its directors approved the plan, which provides an opportunity for stockholders to receive cash for most of their investment in the company while retaining about 75% of the equity of the recapitalized company. It also enhances the opportunity for employees to participate in the equity of the company, Anderson Clayton said. A meeting of shareholders will be held in April to consider the proposal.
