A class-action lawsuit on behalf of Newhall Land & Farming’s unit holders was filed against the management of the Valencia-based land developer. The suit seeks to block Newhall from implementing anti-takeover proposals that management is asking the unit holders to approve next month. The suit alleges that the proposals would “make any takeover of Newhall absolutely impossible” and are meant to entrench current management, said the plaintiffs’ lawyer, William Lerach in San Diego. Robert D. Wilke, Newhall’s executive vice president, denied the allegations in the suit, which was filed in Los Angeles County Superior Court.
