AT&T; Sues NCR: The suit, filed in federal court in NCR’s home base of Dayton, Ohio, alleges that the computer company violated the Securities Exchange Act by contending that its shares are worth $125 each rather than the $90 AT&T; has offered. AT&T;, which made a hostile offer for NCR a month ago, said the court action was aimed at preventing NCR’s board of directors from “continuing to breach its fiduciary duties” by opposing the AT&T; offer. NCR called the suit “entirely frivolous” and “another attempt to divert attention away from (AT&T;’s) grossly inadequate offer.”
