Roy Disney Seeks to Reveal Pay Documents
A Delaware judge agreed to consider allowing Roy E. Disney to show shareholders documents that contain confidential deliberations of the Walt Disney Co. board on executive pay.
Roy Disney resigned from the company’s board in November and has been waging a campaign to unseat Chief Executive Michael Eisner and force other changes to the board.
As part of that campaign, he requested confidential documents, including minutes of discussions held by the board on compensation for the media company’s top five executives in 2002 and 2003.
Walt Disney Co. argued that allowing the material to become public would set a dangerous precedent.
